Article 1 (Purpose)

These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions for the use of "Gate to Japan" (hereinafter referred to as the "Service"), a SaaS platform connecting overseas companies with Japanese users, including optional support services such as marketing support and Japanese-language business meeting assistance (hereinafter referred to as the "Support Services"). By using the Service, users agree to these Terms.

Article 2 (Definitions)

1. "Company" refers to the entity operating and providing the Service (corporate name, address, etc.).
2. "User" refers to any individual or corporation using the Service.
3. "Registered User" refers to a User who has completed registration as prescribed by the Company.
4. "Plan" refers to the SaaS subscription plan and optional services.
5. "Support Services" refers to additional services such as Japanese business support and marketing assistance.

Article 3 (User Registration)

1. A prospective User shall apply for registration by providing true and accurate information as required by the Company.

2. The Company shall review the application and decide whether to approve it. The Company may reject registration if:

1. false or incomplete information is provided;
2. the applicant has previously violated the Terms and had their account suspended or terminated;
3. the Company otherwise deems registration inappropriate.

Article 4 (User ID and Password Management)

Registered Users shall manage their User ID and password at their own responsibility. The Company shall not be liable for any damage resulting from unauthorized use.

Article 5 (Service Content and Fees)

1. Users shall pay fees corresponding to their selected Plan.
2. Payment method and due dates shall be specified on the Service screen or in a separate agreement.
3. Additional fees may apply for Support Services.

Article 6 (Contract Term, Renewal, and Termination)

1. The contract term shall be the period selected by the User (e.g., monthly or annual).
2. Whether the contract is automatically renewed shall be specified in the contract terms.
3. Users may terminate during the contract term; however, fees already paid shall not be refunded for any reason whatsoever.

Article 7 (Prohibited Acts)

Users shall not engage in the following acts:

1. Acts violating laws or public order and morals;
2. Providing false information;
3. Infringing intellectual property rights, privacy rights, or other rights of the Company or third parties;
4. Unauthorized access or interference with the Service;
5. Defamation or slander against other Users, third parties, or the Company;
6. Use of information obtained through the Service for purposes beyond the scope of the contract.

Article 8 (Suspension and Interruption of the Service)

The Company may suspend or interrupt all or part of the Service without notice if:

1. system maintenance or updates are necessary;
2. force majeure events such as natural disasters, blackouts, or communication failures occur;
3. the Company otherwise deems it necessary.

Article 9 (Disclaimer of Warranties and Liability)

1. The Company does not guarantee that the Service will always meet the User's needs, or that it will be free from interruptions or errors.
2. The Company shall not be liable for any damages incurred by Users in connection with the Service, except in cases of willful misconduct or gross negligence.

Article 10 (Intellectual Property Rights)

All intellectual property rights in the Service, including software, content, and documents, belong to the Company or third parties with legitimate rights. Users shall not reproduce, modify, or resell such property without permission.

Article 11 (Confidentiality)

Users and the Company shall not disclose confidential information obtained through the Service to third parties, except as required by law.

Article 12 (Amendments to the Terms)

The Company may amend these Terms as necessary and shall notify or publish such amendments on the Service website. Continued use after publication constitutes consent to the revised Terms.

Article 13 (Governing Law and Jurisdiction)

These Terms shall be governed by Japanese law. Any disputes shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Company's principal place of business in the first instance.
